Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services operated by Omni Impact LLC, a New York limited liability company ("Omni Impact," "we," "us," or "our"), including the Omni Impact AEO platform and other products in the Omni Impact and Omni Labs portfolio (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. The Services
Omni Impact LLC operates a portfolio of products including, without limitation:
- Omni Impact AEO: A hosted SaaS platform for AI visibility / answer-engine optimization analytics
- OmniVox: A source-available, local-only dictation tool distributed under its own license
- vault.oi: A self-hosted developer secrets manager
- OmniCue: An OS-level AI agent harness
- Century 22: A private discussion and analytics platform for trade ideas (currently invite-only)
- Personify: A local-first personal knowledge vault
- Kernelmon: A free open-source game
- Free skills and developer tools released through our GitHub presence
These Terms apply to all Services. Where a specific product has its own license or agreement (such as OmniVox's source-available proprietary license, or a separate written agreement we sign with a customer), the product-specific terms control in case of conflict, but these Terms otherwise apply.
2. Account Registration and Eligibility
To use certain Services, you may need to create an account. You agree to:
- Provide accurate, complete, and current information
- Keep your account credentials secure and confidential
- Be responsible for all activity that occurs under your account
- Notify us promptly of any unauthorized access
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Subscriptions, Fees, and Payment
Some Services are free; others require a paid subscription. For paid Services:
- Fees: You agree to pay the fees specified at signup or in your Order Form
- Billing: Subscriptions auto-renew at the end of each billing period unless cancelled. You authorize us to charge your payment method on file
- Payment processing: Currently handled by Stripe. We do not store full payment card details
- Refunds: Fees are non-refundable except where required by law or expressly stated otherwise
- Taxes: Fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes
- Price changes: We may change fees with reasonable notice (typically 30 days for existing subscribers)
If you sign a separate written agreement with us, such as an Order Form, it applies together with these Terms and, where the two conflict, the signed agreement controls.
4. Acceptable Use
You agree to use the Services lawfully and responsibly. You may NOT use the Services to:
- Engage in illegal activity, fraud, or harm to others
- Attempt unauthorized access, scanning, or attacks on our systems
- Reverse-engineer or extract our source code, models, or proprietary algorithms (except where law expressly permits)
- Send spam, scrape abusively, or evade rate limits
- Generate disinformation, deepfakes of real persons, or content that violates law or third-party rights
- Use the Services for life-safety, mass surveillance, or critical infrastructure without our written consent
- Submit protected health information (PHI), payment card data, or other regulated data without a separate written agreement
- Compete with us by using the Services solely to develop a directly competing product
Violation of this Section 4 may result in suspension or termination of your access and may be grounds for legal action.
5. Your Content
5.1 Ownership
You retain all ownership and intellectual property rights in the content you submit to hosted Services ("Your Content"). For Omni Impact AEO, Your Content includes the URLs you submit, brand identifiers, prompts, and parameters you provide.
5.2 License to Us
You grant Omni Impact LLC a limited, non-exclusive, worldwide, royalty-free license to access, use, process, store, and display Your Content solely as necessary to:
- Provide and operate the Services to you
- Diagnose and address technical issues
- Comply with applicable law
We will not use Your Content to train general-purpose AI models without your explicit consent.
5.3 Your Responsibility
You are responsible for the accuracy, legality, and appropriateness of Your Content, including ensuring you have all rights and permissions necessary to submit it.
6. Our Intellectual Property
Omni Impact LLC retains all right, title, and interest in the Services, including all underlying software, algorithms, models, prompts, methodologies, designs, brands, and improvements. Except as expressly set forth in these Terms or a separate written license, no rights in our intellectual property are granted to you.
Where products are released as open source (currently Kernelmon, personify, and certain developer skills), the applicable open-source license governs your rights to that specific software. Where products are released as source-available proprietary software (currently OmniVox), the product-specific license governs.
If you submit suggestions, comments, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback into the Services without obligation to you.
7. Service-Specific Notes
7.1 Omni Impact AEO
The AEO platform analyzes websites and web pages you submit. You may submit only (a) sites you own or control, or are authorized to have analyzed, and (b) publicly available pages of other sites (pages anyone can view without logging in), such as competitors’ sites, to analyze and compare their public content. You are responsible for how you use the results. The platform's outputs are informational and generated by automated and AI-driven techniques — they may be inaccurate and should be validated before being relied on for material business decisions.
When you run tracked prompts, we obtain AI-generated answers, and the web sources that accompany them, through AI providers’ official APIs, and may also obtain them through licensed third-party data providers. We store and analyze those answers and source URLs to provide the Service's analytics, as described in our Privacy Policy. Some providers’ terms limit how their answers may be displayed or shared; where they do, the Service may show results derived from an answer without showing the answer itself.
If you connect a third-party account, such as your website platform, GitHub, or Google Analytics, you confirm that you are authorized to connect it, and you authorize us to access it and to make the changes you request or approve through the Service. You are responsible for the changes you ask us to make. We do not control third-party AI systems or search engines, and we do not guarantee any particular visibility, ranking, or other result in them.
7.2 Local-Only and Self-Hosted Products
OmniVox, vault.oi, OmniCue, Kernelmon, Personify, and similar local-only or self-hosted products operate entirely on your own device or infrastructure. We have no access to data processed by these products. Once you install them, security, backup, and operation are your responsibility. We are not liable for data loss, security incidents, or other harm arising from your use of these products on your own systems.
7.3 Century 22
Century 22 is a private discussion and analytics platform for trade ideas. It does not execute trades, move money, or provide personalized investment advice. Nothing in Century 22 constitutes a recommendation to buy, sell, or hold any security. You are responsible for your own investment decisions.
7.4 No Regulated Data Without Agreement
Unless you have signed a separate written agreement with us (such as a Business Associate Agreement for HIPAA-regulated data), you may not submit protected health information, payment card information beyond what flows through our payment processor, children's personal information regulated by COPPA/GDPR-K, or other categories of regulated data.
8. Third-Party Services
The Services may interact with third-party services (such as OpenAI, Anthropic, Google, Perplexity, payment processors, hosting providers, etc.) to deliver functionality to you. Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services. The service providers we use to operate the Services are listed on our Sub-processors page.
9. Beta and Research Preview Features
Some Services or features are designated as "beta," "research preview," "alpha," or similar. These are provided for evaluation purposes and may:
- Be incomplete, unstable, or undergo significant change
- Be discontinued at any time without notice
- Have additional or modified terms attached
Beta features are provided "as is" with no service level commitment. Do not rely on beta features for production or mission-critical use.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. OMNI IMPACT LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or that outputs (including AI-generated content) will be accurate, complete, or suitable for your purposes. You should independently validate outputs before relying on them for material decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI IMPACT LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY UNDER OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, THE EXCLUSIONS AND LIMITATIONS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Omni Impact LLC, its affiliates, officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your Content
- Your use of the Services in violation of these Terms or applicable law
- Your products, services, or operations as they relate to the Services
- Your violation of any third party's rights
13. Termination
You may stop using the Services or close your account at any time.
We may suspend or terminate your access to any or all Services at our discretion, including for violation of these Terms, non-payment, or if we cease offering a particular Service. For material breach, we will provide notice and a reasonable opportunity to cure where appropriate.
Upon termination, your right to use the Services ends. Sections 5, 6, 10, 11, 12, 14, and 15 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
Before bringing any formal action, you and Omni Impact LLC agree to attempt to resolve any dispute through good-faith informal discussion for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.
15. Changes to the Services and to These Terms
We may modify the Services or these Terms at any time. For material changes to these Terms, we will provide reasonable notice (such as updating the "Last Updated" date and posting a notice in the Services or sending an email to account holders). Your continued use after the changes take effect constitutes your acceptance of the updated Terms.
We may modify, suspend, or discontinue any Service at any time. For paid subscribers, we will provide reasonable advance notice of material reductions in functionality.
16. General Provisions
- Entire Agreement: These Terms, the Privacy Policy, any Order Form or other written agreement you sign with us, and any product-specific licenses constitute the entire agreement between you and Omni Impact LLC
- Severability: If any provision is held unenforceable, the rest remain in full force
- No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later
- Assignment: You may not assign these Terms without our consent. We may assign to a successor in connection with a merger, acquisition, or sale of assets
- Force Majeure: Neither party is liable for delays caused by events beyond reasonable control
- Independent Contractors: Nothing in these Terms creates a partnership, joint venture, or employment relationship
